Terms of Service
Effective date: 1 November 2026
1. Agreement and operator
These Terms govern use of the Halas website, applications, merchant tools, checkout interfaces and other enabled services. The operator is Halas Fintech For Computer Systems & Communication Equipment Software Design CO. L.L.C S.O.C, Dubai Department of Economy and Tourism commercial licence number 1663741, at Office 1503-118, AL MUSALLA TOWER, Al Hamriya, Bur Dubai, Dubai, UAE.
Support: the contact details in the Contact section at the end of this document.
When you register, purchase a Halas service or use a feature requiring agreement, you will be asked to accept these Terms. If you act for a business, you confirm that you have authority to bind it. Our Privacy Policy explains data processing and is not a blanket request for consent.
Additional merchant agreements, order forms or third-party service terms may apply when the relevant service is activated. An expressly agreed service-specific term prevails over these general Terms for that service, subject always to mandatory law. Payment-provider terms govern the provider's regulated payment functions. No additional agreement reduces non-waivable consumer rights.
2. Eligibility and accounts
Account holders must be at least 18 and have legal capacity. Merchants must maintain the registrations, licences and permissions needed for their business, provide accurate information and appoint authorised users. Onboarding may depend on checks by Halas and relevant providers.
Protect login credentials and notify us promptly of suspected compromise. You are responsible for authorised use of your account and reasonable security measures; you are not automatically liable for every unauthorised act regardless of fault or applicable law.
3. Service scope and payment role
The Halas MVP consists of its website, merchant accounts and dashboard, QR/NFC links, and related order and payment technology interfaces. Only functions expressly enabled in the Service are available. A demonstration, registration page or payment interface does not mean that live payment processing is available. Supported payment methods and any required onboarding will be shown when payment functionality is activated.
Under the service model covered by these Terms, Halas supplies technology and orchestration and does not hold, pool, transmit or settle customer funds. Halas is not represented as a bank, deposit taker, acquirer or independently licensed payment institution. A commercial licence for software or platform activities does not itself authorise regulated payment services.
If live payment functionality is enabled, regulated payment functions will be performed by appropriately authorised third parties, whose identity and applicable terms will be disclosed in the relevant journey before use. These Terms do not confirm an existing partnership with any particular organisation.
Unless expressly identified as the seller, Halas is not the seller of a merchant's goods or services. The merchant is responsible for its offer and fulfilment; Halas remains responsible for its own obligations and representations.
4. Payments, status and settlement
Before confirming payment, check the merchant, amount, currency and order details. Authorise the transaction through the designated provider flow. Timing, supported methods, FX charges and any disclosed provider conditions depend on the relevant provider.
A QR scan, NFC tap, redirect, screenshot or audible notification alone is not conclusive evidence of final settlement. Merchants should verify the authoritative transaction status and provider reconciliation records before treating an order as paid. Some payments can later be reversed or disputed under applicable rules.
Settlement goes through the provider's agreed arrangements. Halas does not promise a settlement date independent of those arrangements. Bank payments may not offer the same chargeback mechanisms as card payments. Nothing here limits statutory rights concerning unauthorised payments or provider error.
Do not repeat a pending payment without checking its status. Report suspected duplication or incorrect status promptly so that the relevant parties can investigate.
5. Fees
Any Halas fee must be disclosed before you agree to pay it, including the currency, applicable taxes and calculation basis. No charge arises merely because you read these Terms or submit a general enquiry. Any separate bank or third-party charge is subject to its applicable disclosure and terms. Changes to agreed fees apply prospectively with appropriate notice and any acceptance required by law.
6. Purchases, refunds and disputes
A merchant must disclose its identity, goods or services, total price, delivery terms and lawful refund policy before purchase. Requests concerning fulfilment, product quality or returns should first be directed to the merchant, with Halas available to help route the issue.
A merchant's refund policy cannot exclude mandatory rights. Halas will address failures of its own services and provide remedies required by law. There is no blanket "all payments final" rule under these Terms.
Refunds must be authorised and processed through the appropriate provider process, normally to the original payment method unless lawfully agreed otherwise. Timing and any lawfully non-refundable charges must be explained in the applicable transaction terms. We do not guarantee an instant refund or approval of a chargeback. Users retain the right to approach their bank, provider or a competent authority.
7. Merchant responsibilities
Merchants must sell lawful goods and services, honour accepted offers and applicable consumer rights, issue required invoices, and comply with tax, advertising, data-protection and sector-specific obligations. They must not misrepresent Halas's or a provider's regulatory status.
Merchants must secure QR/NFC materials and payment links, check for tampering, control staff access, and report suspected fraud. A static QR or NFC tag opens a link and does not by itself accept a contactless bank card payment.
Customer information may be used only for permitted purposes. Access to payment data does not authorise direct marketing, customer-list uploads or audience profiling. Where Halas acts as a processor, a suitable data processing agreement must govern the processing.
8. Prohibited use
You must not use Halas for fraud, money laundering, sanctions evasion, unlawful goods or services, deceptive advertising or infringement. You must not tamper with payment destinations, obtain unauthorised access, upload malware, evade security controls, or collect personal data without permission. You must not submit another person's credentials or use the platform to process fictitious transactions.
9. Intellectual property
Halas and its licensors retain rights in the platform, software and branding. Subject to these Terms, you receive a limited right to use the enabled services for their intended purpose. You may use approved Halas marks only under applicable brand permissions and must not imply regulatory approval or a partnership that does not exist.
10. Availability and third-party services
We use reasonable care and skill in providing our services. Services may be interrupted for maintenance, security incidents or dependencies outside our control. Where practicable, we give notice of planned material interruptions. A specific uptime commitment applies only if expressly agreed.
Third-party services have separate terms, availability and privacy practices. We remain responsible for our own obligations, including duties that cannot lawfully be delegated or excluded.
11. Suspension and termination
We may restrict a feature or suspend access where reasonably necessary to address suspected fraud, material breach, security risks, a lawful authority request or a provider restriction. We aim to limit the restriction to what is necessary and, where lawful and practical, explain it and offer a review or remedy opportunity. Urgent action may occur without advance notice.
You may close your account by emailing the contact details in the Contact section at the end of this document, subject to resolving outstanding contractual obligations. We may discontinue a service with reasonable notice unless urgent legal or security grounds prevent it. Charges and refunds for prepaid unused Halas services will be resolved under the accepted service terms and mandatory law.
Account closure does not transfer settlement funds to Halas, cancel a valid merchant refund obligation or erase records subject to lawful retention. Where feasible and legally permitted, we provide a reasonable opportunity to export merchant records before non-urgent closure. Accrued obligations and provisions intended to survive remain effective.
12. Liability and remedies
Nothing excludes or limits liability that cannot lawfully be excluded or limited, including mandatory consumer remedies and liability for fraud, wilful misconduct or other non-excludable conduct. Halas remains responsible for its own unlawful acts, failures and contractual obligations.
To the extent permitted by law, Halas is not responsible for losses caused solely by a merchant's goods or services, inaccurate information supplied by a user, or an independent third party's failure. This does not exclude responsibility for Halas's own contribution to a loss or any duty imposed by law. Any additional business liability allocation must be expressly agreed in the applicable merchant agreement. These Terms do not impose a fixed monetary cap on consumer remedies.
13. Complaints and governing law
Contact the contact details in the Contact section at the end of this document with the issue, relevant order or account reference and requested resolution. Do not send full card details or authentication credentials. We will acknowledge complaints promptly and explain the next steps. Payment-provider complaints may also need to follow that provider's process.
These Terms are governed by the federal laws of the UAE and the laws applicable in the Emirate of Dubai. Subject to mandatory jurisdiction rules and consumer protections, disputes fall within the jurisdiction of the competent onshore Dubai courts. You retain any mandatory right to approach a regulator, consumer authority or other competent court. Informal discussions are encouraged but are not a precondition to exercising statutory rights.
14. Updates and general provisions
We notify users of material changes through an appropriate channel and provide reasonable advance notice where practicable. Changes do not retrospectively remove accrued rights. Where a change requires express acceptance or fresh consent, we obtain it before the affected activity continues. If you do not accept a material contractual change, you may stop using the affected service and exercise applicable cancellation rights.
If a provision is invalid, the remaining provisions continue to the extent lawful. A failure to enforce a right does not waive it. Any assignment must preserve applicable user rights; a transfer materially affecting service or data processing requires appropriate notice and safeguards.
The consumer-facing Arabic version and any accompanying translations must preserve mandatory UAE language requirements. No translation provision may displace rights conferred by law.
The consumer-facing Arabic version of these Terms has not yet been published. Until it is, these English Terms govern. An Arabic version will be provided to meet UAE language requirements when available.
